Publisher Agreement
Introduction
By using Sprinklepenny ("Service") of Sprinkle Penny Limited (registered in England and Wales with registration number 6882492) as a registered publisher ("Publisher") defined as a website receiving a proportion of money pledged ("Pledge Amount") from end users ("Users") who are registered with Sprinklepenny, you are agreeing to be bound by the following Publisher Agreement ("Publisher Agreement").
You are advised to check the Publisher Agreement from time to time for any updates or changes that may impact you. Sprinkle Penny Limited reserves the right to update and modify the Publisher Agreement at any time without notice. New features that may be added to the Service shall be subject to the Publisher Agreement. Should you continue to use the Service after any such modifications have been made, this shall constitute your agreement to such modifications.
Violation of any part of the Publisher Agreement will result in termination of your account.
Publisher Payment and Financial Information
- A valid PayPal account is required to register as a Publisher with Sprinklepenny.
- Payments are made to Publishers once per month in US Dollars. Pledge Amounts will be converted to US Dollars at PayPal's prevailing exchange rate at time of payment from Users.
- Payments due to Publishers are calculated on a proportional basis depending on the number of registered Sprinklepenny visits they have received and the Pledge Amount of each User. The following two examples clarify how payments will be calculated:
- If 10 Publishers receive 10 visits each from 1 registered Sprinklepenny User who has pledged $5, the amount due to each Publisher will be $0.50 minus processing fees charged by Sprinklepenny.
- If 10 Publishers receive 10 visits each from 100 registered Sprinklepenny Users who have each pledged $5, the amount due to each Publisher will be $50.00 minus processing fees charged by Sprinklepenny.
- Sprinklepenny charges each Publisher a processing fee of 20%. In the second example above, the Publisher would be paid $40.00 at the end of the month.
- Sprinklepenny reserves the right to change our monthly processing fee upon 30 days notice from us.
- When registering, a User is free to choose the currency and amount they wish to pledge each month. Pledge Amounts will be converted at PayPal's prevailing exchange rate at time of payment from a User.
- Accepted currencies for a User's Pledge Amount are US Dollar, British Pound and Euro. The minimum Pledge Amount is 5 units of a User's selected currency. e.g. If the currency choice is US Dollars, then the minimum Pledge Amount is $5.
- A User is free to change the currency and amount of their Pledge Amount at any time, or cancel their Pledge Amount outright without penalty.
Application Use
- Registration is not a guarantee of acceptance to the Service. New publishers need to be approved and may be rejected.
- Approval is not a guarantee of any single or regular payment. If a Publisher receives zero visits from Users or visits from Users whose account balance is zero, they will not receive a payment.
- Approval is not a guarantee of continued Service. Publishers may have their accounts terminated if they contravene the Terms of Service or the Publisher Agreement.
- Publishers may place the Sprinklepenny badge on their home page, article pages and pages with content only. All other use is prohibited without express permission.
- Publishers may not place the Sprinklepenny badge on a page more than once. Offenders will have their accounts terminated and money owed returned to the pool.
- When a User visits the Publisher's site, it is assumed that they wish to support the Publisher i.e. Sprinklepenny works on an opt-out basis and assumes support by default.
- A visit will only be registered if the Sprinklepenny cookie is present within the browser cache of the User.
- The User will know that a visit has registered if they see the Sprinklepenny badge thanking them for their support.
- One visit is recorded for each page view of the Publisher's website where the badge is present. Page refreshes and return visits are treated as additional visits by Sprinklepenny.
- Users are free to remove their support for a website for the current month only.
- Users can remove individual website visits from their recorded visits for the current month only.
- A User may see a badge that asks for them to support the Publisher via Sprinklepenny even though they are already a member of Sprinklepenny. This visit has not registered for one of two reasons:
- Sprinklepenny requires a cookie in the User's cache to recognise their visit. To rectify, the User must log into Sprinklepenny and then revisit the Publisher's site. They should now see a badge thanking them for their support.
- Sprinklepenny recognised the visit but does not show a thank you badge if the User's account balance for the month is zero. To rectify this, they must update their Pledge Amount from the account settings page. Once this is done, there is no need to revisit the site to register their support as the visit will have already been recorded.
Cancellation and Termination
- You alone are responsible for the proper cancellation of your account.
- To close your account, email us at support@sprinklepenny.com
- When you request an account cancellation, your email address will be removed from our system. Your recorded visits and your Publisher name will remain as data on our system.
- Sprinklepenny reserves the right to modify, suspend, or terminate your account at any time for any reason without notice or refund. We also reserve the right to delete all content associated with your account.
- Sprinklepenny may refuse service to anyone for any reason at any time.
Prohibited Sites
The following sites are prohibited from joining Sprinklepenny:
- Adult Oriented Products and Services - includes pornography (including child pornography), sexually explicit materials (in all media types such as Internet, phone, and printed materials), dating services, escort services, or prostitution services.
- Alcohol - includes sales of wine, beer, and liquor conducted over the Internet or mail order.
- Collection Agencies - includes businesses that are engaged in the collection of uncollectible debt or accounts receivable and billing companies.
- Credit Services -- includes credit counselling, credit repair services, credit protection, and identity theft protection.
- Drugs - includes illegal drugs, drug paraphernalia, online or mail order pharmacies, importation of pharmaceuticals from foreign countries, and prescription devices.
- Firearms and Weapons - includes ammunition, guns, rifles, shotguns, pistols, other firearms, knives (automatic, spring-loaded knives, throwing, etc.), brass knuckles, or other weapons.
- Gambling Businesses - includes online gambling (including poker), lotteries (including sale of lottery tickets), games of chance (including sweepstakes and raffles), sports forecasting, or odds-making.
- Illegal, Inappropriate or Offensive Items or Activities - includes any good or service that violates local or international laws or regulations or that would be generally offensive to others. Examples include stolen goods, or materials that infringe other's intellectual property rights (including pirated software and counterfeit goods), human body parts, endangered species, items that defame or slander others, hate literature and any other items or activities that in our judgment are illegal, inappropriate or offensive in connection with our services.
- Marketing Businesses - includes direct marketing, subscription merchants, telemarketing, multi-level marketing, "up-sell" merchants, infomercial merchants, and rebate-based businesses.
- Miracle Cure Products - includes cures, remedies or enhancement products, and other health/nutritional products offering guaranteed results.
- Money Making ("Get Rich") Businesses - includes information guides, warranty fees, mortgage reduction services, and any product or service where a prize is guaranteed, marketing media is unavailable, premiums/incentives are offered, promises of future guaranteed results are made, or any rebate or reward program.
- Phone Services - includes audio text services, prepaid phone cards, and prepaid phone services.
- Travel and Time Share Services - includes agencies, tour operators, clubs, packages, airlines, cruise lines, time shares, and property management companies.
